Terms of Service

These Terms of Service (“Terms”) are a binding agreement between you and Sonawala Integrated Circuit Industries Private Limited (“SICIPL”, “Company”, “we”, “us”, “our”) for use of ChatYug, SICIPL’s WhatsApp Business API platform. By registering, clicking “I agree”, or using ChatYug, you accept these Terms, our Privacy Policy, and (where you process end-user personal data through ChatYug) our Data Processing Addendum.

1. Parties and acceptance

Customer: the individual or legal entity registering for or using ChatYug (“you”, “Customer”, “Client”).

These Terms are an electronic record under the Information Technology Act, 2000. ChatYug is a B2B software tool. SICIPL provides platform access only; all business decisions, messaging, and data management remain your responsibility as set out below.

2. Nature of service and platform scope

ChatYug is a hosted software portal developed by SICIPL to operate with Meta’s WhatsApp Business API in line with Meta’s technical standards and permitted use cases. SICIPL is a Meta Certified Business Partner. We provide infrastructure, dashboards, APIs, and integration features—we do not send messages on our own behalf, approve your templates, or control your WhatsApp Business Account.

Depending on your plan, ChatYug may include messaging and templates, campaigns and broadcasts (including group-broadcast features where enabled), chatbot and automation flows, CRM/contacts, commerce catalogs and orders, media handling, webhooks for inbound messages and delivery/read events, External API access, and MCP (Model Context Protocol) access for programmatic or AI-assisted operations.

Entire use of the portal is at your sole risk and responsibility. This includes how you configure accounts, invite users, upload data, select message categories, create or submit templates, schedule or trigger sends, configure chatbots or AI-assisted replies, connect API/MCP clients, and interact with your customers. SICIPL is an independent contractor; no agency, partnership, or employment is created.

3. Customer responsibilities (messaging, templates, automation, and portal use)

You acknowledge and agree that SICIPL is not responsible for:

  • Choice of message type (utility, marketing, authentication, or other categories permitted by Meta).
  • Content, accuracy, legality, or language of templates and messages.
  • Submission, approval, rejection, or quality rating of templates by Meta/WhatsApp.
  • Timing, volume, targeting, delivery, read receipts, or failure of any message.
  • Opt-in, consent records, DND/NCPR compliance, or privacy notices to your end customers.
  • Content and outcomes of chatbot flows, automated replies, or AI-assisted messaging you enable (ChatYug provides tooling on an “as is” basis).
  • Actions taken by External API or MCP clients, agents, or third-party AI tools connected with your credentials.
  • Any loss, penalty, account restriction, or ban imposed by Meta, TRAI, or authorities due to your use.

You alone decide how to use ChatYug. SICIPL has built the portal according to Meta standards for the intended use case; compliance with law and Meta policies in your operations is entirely your obligation.

4. Eligibility and account security

You must:

  • Be at least 18 years old and legally able to enter contracts, and if registering for an entity, have authority to bind that entity.
  • Use ChatYug for lawful business purposes only.
  • Provide accurate registration information and keep it up to date.
  • Maintain the security of your login credentials, API keys, MCP tokens, and webhook secrets. We recommend enabling two-factor authentication where available.
  • Notify us promptly of unauthorised access to your account.

You are responsible for all activity under your account, including actions by team members, sub-users, and connected API/MCP clients you authorise.

5. Acceptable use, opt-in, and broadcasts

You agree not to:

  • Send spam, unsolicited marketing, or messages without valid recipient consent where required.
  • Use ChatYug for illegal activities, fraud, harassment, hate speech, or deceptive practices.
  • Offer or promote goods or services prohibited under WhatsApp Business Policy or Meta Commerce Policy, or other prohibited industries under Meta / WhatsApp rules.
  • Circumvent message templates, rate limits, or Meta or WhatsApp technical restrictions.
  • Reverse engineer, scrape, or attempt to gain unauthorised access to ChatYug or third-party systems.
  • Resell or sublicense the platform or API/MCP access except as expressly permitted in a separate written agreement with us.
  • Upload malware or content that infringes intellectual property or privacy rights of others.
  • Publish or transmit content prohibited under the Information Technology Act, 2000, the Information Technology (Intermediary Guidelines and Digital Media Ethics Code) Rules, 2021, or other applicable Indian law.

You warrant that you have valid, WhatsApp-compliant opt-in (or another lawful basis) for every recipient you message. Bulk messaging, campaigns, broadcasts, and group-broadcast features may be used only with consented lists. You must honour opt-outs (including STOP / UNSUBSCRIBE) promptly.

You are solely responsible for obtaining and documenting opt-in from your customers before sending them WhatsApp messages, and for the content of messages your business sends. We may remove or restrict content or accounts that violate law or these Terms. ChatYug may suspend access for policy violations; Meta may independently impose quality ratings, messaging limits, and template decisions outside ChatYug’s control.

6. WhatsApp and Meta policies

Your use of WhatsApp features through ChatYug is also subject to Meta’s and WhatsApp’s terms, policies, and approval processes. Without limiting the foregoing, you must comply with the WhatsApp Business Terms, the WhatsApp Business Solution Terms, the WhatsApp Messaging Policy, the WhatsApp Commerce Policy, and the Meta Platform Terms (as published by Meta and updated from time to time). We may suspend or limit features if Meta restricts your WhatsApp Business Account or if you violate these policies. We are not responsible for Meta’s decisions regarding account status, message delivery, or template approval. We reference these policies by name; we do not reproduce Meta’s text.

7. Catalog and commerce responsibility

If you use catalog or commerce features, you represent that you have the right to list, sell, and display all products and that product information is accurate and lawful. You are responsible for fulfilment, refunds, customer service, and compliance with applicable consumer and e-commerce laws in India, including the Consumer Protection (E-Commerce) Rules, 2020, to the extent they apply to your selling activity. ChatYug stores and transmits catalog and order data on your behalf to enable WhatsApp display and related workflows; we do not guarantee sales outcomes and are not the seller of your goods or services.

8. Fees, trial, GST, and non-refundable subscriptions

Subscription fees are ₹1,500 per month or ₹15,000 per year, inclusive of GST, as published on our pricing page. A Trial Plan is available at ₹0 for seven (7) days as published on the pricing page; trial feature limits (for example read-only MCP access) are as described on pricing and product documentation. Meta/WhatsApp conversation and other third-party charges are billed separately by Meta unless agreed otherwise in writing and are pass-through and non-refundable by SICIPL.

  • Invoicing: SICIPL issues GST tax invoices under the CGST Act, 2017 and Gujarat SGST law (GSTIN: 24AAZCS8063R1Z3). Fees are collected manually per invoice.
  • Payment: Fees are due in advance for the selected billing period. Failure to pay may result in immediate suspension of access. Indian customers pay via UPI / QR-code payment (settlement on the UPI network; ChatYug retains a transaction reference such as a UTR and the invoice record only, not payment-instrument data). International customers pay via PayPal, processed by PayPal under PayPal’s own terms and privacy policy; ChatYug receives transaction confirmation only. ChatYug does not use an automated card gateway, does not store card or bank-account credentials, and does not levy automatic recurring card charges.
  • Upgrades / downgrades: Plan changes follow the pricing page and dashboard flows then in effect; unused periods remain subject to the non-refund rule below.
  • No refunds: Monthly and annual subscription amounts paid to SICIPL are strictly non-refundable under all circumstances, including unused period, partial use, account suspension, termination, dissatisfaction, downtime, Meta/WhatsApp issues, or change of mind. No credit notes or adjustments except at SICIPL’s sole written discretion.
  • Price changes: Published prices may change with fifteen (15) days’ notice; changes apply from the next renewal.

9. API and MCP access

External API and MCP access are provided under scoped tokens, plan-based rate and feature gating, and audit logging where implemented. You must not reverse engineer the service, resell access, or share credentials with unauthorised parties. You are solely responsible for actions taken by connected AI clients, agents, or integrations using your tokens. SICIPL may revoke tokens that pose a security or compliance risk.

10. Data backup, data loss, and no liability

You are solely responsible for maintaining backups of all data stored in or transmitted through ChatYug, including messages, contacts, media, templates, catalogs, automation flows, and configuration. SICIPL does not provide backup, archival, or data recovery services unless expressly agreed in a separate written contract.

Data loss is outside SICIPL’s scope of responsibility. Without limiting other disclaimers, SICIPL shall not be liable for any loss, corruption, deletion, or failure to retrieve data, whether caused by your acts, omission to back up, software bugs, third parties (including Meta), force majeure, subscription lapse under Section 17, or otherwise. You waive claims against SICIPL for data loss to the fullest extent permitted under Indian law.

11. Data protection, uploaded contacts, media, and webhooks

Each party will comply with the Digital Personal Data Protection Act, 2023 and other applicable privacy laws. For personal data you upload about your customers, you are the Data Fiduciary and we act as Data Processor processing data only on your instructions to deliver the service, as described in our Privacy Policy and Data Processing Addendum (incorporated by reference). You warrant that you have lawful grounds and notices in place for every contact you upload (including CSV imports) and grant SICIPL the right to process those contacts solely to provide the service. You will indemnify us for claims arising from your unlawful processing or lack of consent.

Inbound messages and delivery/read receipts received via webhooks, and media (images, video, audio, documents) sent through the platform, may be stored on ChatYug’s servers as part of providing the service. Retention and deletion follow the Privacy Policy and Section 17.

12. Intellectual property

ChatYug, its software, branding, documentation, and related materials are owned by SICIPL or its licensors. We grant you a limited, non-exclusive, non-transferable licence to use the platform during an active paid subscription for your internal business purposes. You retain ownership of your business content. You grant SICIPL a licence to host, process, and transmit your content solely to provide the service.

13. Availability, support, and force majeure

We use commercially reasonable efforts to maintain availability but do not guarantee uninterrupted service. Scheduled maintenance, Meta/WhatsApp outages, internet failures, government action, natural events, or other force majeure events excuse performance delays to the extent permitted by law. Support levels follow your plan on the pricing page.

14. Disclaimers

ChatYug is provided on an “as is” and “as available” basis. SICIPL disclaims all implied warranties to the fullest extent permitted under Indian law. We do not warrant message delivery, template approval, business results, data integrity, or uninterrupted service.

15. Limitation of liability

To the maximum extent permitted under Indian law, SICIPL and its directors, officers, and employees shall not be liable for indirect, incidental, special, consequential, or punitive damages, or for loss of profits, revenue, data, goodwill, or business opportunity. Without limiting Sections 3, 8, and 10, any claim relating to data loss, message failure, or portal use is expressly excluded. SICIPL’s aggregate liability for all claims in any twelve (12) month period shall not exceed subscription fees actually paid by you in that period, or ₹15,000, whichever is higher. Nothing excludes liability for fraud or wilful misconduct where non-excludable by law.

16. Indemnity

You will indemnify, defend, and hold harmless SICIPL and its directors (including Nishant Sonawala) from all claims, penalties, damages, losses, and costs (including advocate fees) arising from your use of ChatYug, your messages and data, your breach of these Terms, data loss attributable to you, or violation of law or Meta/WhatsApp policies.

17. Subscription lapse, data deletion, and termination

Subscription lapse: If your subscription payment fails, expires, or is not renewed, SICIPL may suspend access immediately. If you do not renew within one (1) calendar month from the date of expiry or payment failure, SICIPL may permanently delete all account data (messages, contacts, catalogs, templates, media, configuration) without liability and without obligation to restore, as further described in our Privacy Policy. Data may be irrecoverable (“vanished” from the platform). Export your data before expiry.

SICIPL may suspend or terminate your account for breach, non-payment, legal requirement, or Meta direction. Upon termination, your licence ends. Non-refundable fees remain non-refundable. Retention of billing records continues as required by GST law.

18. Governing law, disputes, and arbitration

These Terms are governed by the laws of India. Subject to non-excludable rights:

  1. Negotiation: Parties will first attempt amicable resolution within thirty (30) days by writing to nishant@sicitechnologies.com.
  2. Arbitration: Unresolved disputes shall be referred to a sole arbitrator appointed mutually, or failing agreement, in accordance with the Arbitration and Conciliation Act, 1996. Seat and venue: Bharuch, Gujarat. Language: English. The award shall be final and binding.
  3. Courts: Subject to arbitration, courts at Bharuch, Gujarat shall have exclusive jurisdiction.

Nothing prevents either party from seeking urgent injunctive relief before a competent court.

19. General provisions

  • Entire agreement: These Terms, the Privacy Policy, the Data Processing Addendum, and pricing page constitute the entire agreement between you and SICIPL regarding ChatYug.
  • Severability: If any provision is held invalid, the remainder continues in force.
  • No waiver: Failure to enforce a provision is not a waiver.
  • Assignment: You may not assign without SICIPL’s written consent. SICIPL may assign to any successor or affiliate.
  • Notices: Operational notices to your registered email; legal notices to nishant@sicitechnologies.com with subject “Legal Notice — ChatYug”, addressed to SICIPL at the registered office above.

20. Changes to these Terms

We may update these Terms from time to time. We will post the revised version on this page with an updated effective date. Material changes may be notified by email or through the dashboard. Continued use after changes take effect constitutes acceptance unless you cancel your account.
